CORPORATE SOCIAL RESPONSIBILITY (CSR) POLICY

1. Preamble

The Company recognizes its responsibility towards society and the environment and is committed to conducting its business in an economically, socially, and environmentally sustainable manner. This Corporate Social Responsibility (CSR) Policy has been framed in accordance with Section 135 of the Companies Act, 2013 and the rules made thereunder, as amended from time to time.

2. Objective of the Policy

The objective of this CSR Policy is to:

  • Define the guiding principles for selection, implementation, and monitoring of CSR activities of the Company.
  • Contribute to inclusive growth and social development.
  • Ensure compliance with statutory requirements under the Companies Act, 2013.

4. CSR Philosophy

The Company believes that sustainable development can be achieved by empowering women and girls through education, livelihood support, and skill development. The Company aims to make a positive impact on society by focusing on socially relevant initiatives that address long-term community needs.

5. Scope of CSR Activities

The Company proposes to undertake CSR activities primarily in the following areas, in line with Schedule VII of the Companies Act, 2013:

1.Girls’ Education and Scholarship ProgrammeProviding financial assistance, scholarships, educational materials, and infrastructure support to promote education of girls, especially from underprivileged backgrounds.

2. Women Livelihood InitiativesSupporting programmes that enhance income-generation opportunities for women through self-employment, entrepreneurship, and livelihood development activities.

3. Skilling for WomenImplementing or supporting skill development and vocational training programmes to improve employability and economic independence of women.

4.Support through Recognized OrganizationsSupporting and partnering with credible institutions, NGOs, trusts, societies, or organizations such as Rotary and similar bodies that are engaged in implementing programmes aligned with the above objectives.

6. CSR Budget

The CSR Committee shall recommend to the Board the annual CSR budget in accordance with the provisions of Section 135 of the Companies Act, 2013. The Company shall endeavor to spend, in every financial year, at least the minimum prescribed CSR expenditure.

7. Implementation of CSR Activities

  • CSR activities may be implemented directly by the Company or through eligible implementing agencies as prescribed under the Companies Act, 2013.
  • Preference shall be given to projects with measurable outcomes and sustainable impact.
  • The CSR Committee shall oversee the implementation of CSR projects and programmes.

8. Monitoring and Reporting

  • The CSR Committee shall periodically review the progress of CSR activities.
  • Impact assessment, where applicable, shall be carried out as per statutory requirements.
  • The Company shall disclose CSR activities and expenditure in its Annual Report and on its website, as applicable.

9. Treatment of Surplus

Any surplus arising out of CSR projects or programmes shall not form part of the business profit of the Company and shall be utilized in accordance with the provisions of the Companies Act, 2013.
